Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Storychat application and website ("Services") operated by PowerFan Inc. ("we," "us," or "Storychat"). By using our Services, you agree to these Terms.

1. User Conduct

You agree not to:

Submit illegal, infringing, harassing, hateful, or otherwise objectionable content;
Create, upload, or share pornographic content or content whose primary purpose is sexual gratification, or visually explicit sexual imagery (including nudity or depictions of sexual acts) — note that mature themes for adults are permitted subject to our Content & Safety Guidelines and the Content Sensitivity Filter;
Create, upload, or share any content that sexualizes, exploits, or endangers minors in any form, including AI-generated, "aged-up," or fictional depictions — zero tolerance;
Create non-consensual sexual content, or content depicting bestiality;
Circumvent content filters, age settings, or safety features, or attempt to disable the Content Sensitivity Filter if you are under 18 or have not confirmed you are 18+;
Impersonate any person or misrepresent your affiliation;
Rely on the Services for professional legal, medical, or financial advice;
Use the Services to generate content that promotes terrorism, self-harm, or violence;
Interfere with, disrupt, or attempt unauthorized access to our Services.

All content is subject to our Content & Safety Guidelines and Community Guidelines. We may remove content that violates these policies without prior notice.

2. User Content & Creator Ownership

You own the original characters, stories, lorebooks, and other content you create. Putting content on Storychat does not transfer ownership to us. If the content was not yours to begin with, posting it here does not make it yours.

While your content is published on Storychat, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and promote it for the purpose of operating and providing the Services (including within the app, on our website, and in promotional materials for the Services). This license is limited to that purpose.

This license ends when you unpublish or delete your content, except that: (a) we may keep a de-identified snapshot of a previously public character for as long as needed so other users' existing chats do not break, as described in our Privacy Policy and Creator Ownership & Content Policy; and (b) we may retain copies as required for legal obligations, security, backups, and abuse investigations. You can unpublish or delete your created content at any time. We do not sell your content to third parties without your explicit permission.

You are responsible for your content and any consequences arising from it.

3. Subscription & Story Point Usage

Access to certain features requires a paid subscription or in-app currency called Story Points (SP). See our Subscription & Refund Policy for pricing, billing, refunds, SP usage, and cancellation. Some adult/mature-gated features may be available only on the web and may be billed only through web payment, not in-app purchasing (see Subscription & Refund Policy §9).

4. Payments and Taxes

All payments are final and non-refundable unless required by law or stated in our Subscription & Refund Policy. You are responsible for applicable taxes. We are not responsible for bank or payment-provider fees.

5. Account Suspension & Termination

We may suspend or terminate your account without notice if you violate these Terms or pose a risk to Storychat or its users.

Upon termination, your access to the Services ends and the license you granted us in Section 2 ends, except for the narrow, de-identified snapshot and legally required retention described in Section 2 and our Privacy Policy. Termination of your account does not, by itself, give Storychat ownership of your content.

6. Privacy

Please review our Privacy Policy and Cookie & Analytics Notice to understand how we collect, use, and protect your data.

7. Third-Party Services

Our Services may link to or integrate with third-party services. We are not responsible for their content or practices. Analytics tools (e.g., Microsoft Clarity, PostHog, Google Analytics) may collect data as described in our Privacy Policy and Cookie & Analytics Notice.

8. Intellectual Property

All content and software provided by Storychat (excluding user-generated content) is owned by PowerFan Inc. or its licensors. The name "Storychat" and associated trademarks belong to PowerFan Inc.

9. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Storychat is not liable for indirect, incidental, special, or consequential damages, or loss of data or profits. Our total liability shall not exceed the greater of $100 or the amount you paid in the past 12 months.

11. Indemnification

You agree to indemnify and hold harmless Storychat, its affiliates, employees, and agents from claims, losses, damages, or expenses arising from your content or your violation of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, U.S.A. Disputes are resolved through binding arbitration in Las Vegas, Nevada, under the JAMS Streamlined Arbitration Rules, and both parties waive jury trials and class actions. Either party may seek injunctive relief in court for intellectual property matters, and either party may bring an individual claim in small-claims court.

Arbitration opt-out: you may opt out of this arbitration and class-action-waiver provision by emailing team@storychat.app within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.
